Business and Company Law

Questions: (a). Prompt the chiefs whether they are at risk for penetrating the wiped out exchanging arrangements of the Corporations Act 2001. Additionally exhort whether they have any protections accessible to them on the off chance that they have in actuality break the bankrupt exchanging arrangements. (2). Exhort the chiefs and different officials whether they have any obligation for approving the 2015 money related records. (3). Inform what is the obligation regarding Mr Smith for his activities paving the way to the deliberate organization of XYZ Co Ltd? Clarify what law may apply to Mr Smith and whether he has penetrated any obligations owed to the organization submitted any offenses. Answers: (a): Mr. Smith is a resigned executive of the organization named XYZ CO Ltd. He was not selected as a chief for the current year, 2014, be that as it may, he kept on going to a considerable lot of the business matters inside the organization and is consistently part of the conferences to exhort and guide the new executives. Consequently, Mr. Smith gets a consultancy expense for his work and the new executives for the most part follow the counsel of Mr. Smith in the manner by which they should run an organization. The organization was as of late inspected and the inspectors and executives of the organization with the proposal of the companys CFO, Brian, closed down the monetary records in the year 2015 as evident and right. Be that as it may, toward the year's end 2015, it was discovered that the organization couldn't pay its obligations and the organization was held wiped out for the year 2015. In light of the realities, the issue that emerges here is whether; the executives are at risk f or breaking the wiped out exchanging arrangements of the Corporations Act, 2001. An organization is considered as a different lawful element and it has similar rights and powers like that of some other typical individual. This implies an organization can acquire, go into agreements and sell or purchase its assets[1]. Each organization has an executive and the chiefs of the organization ought to recollect that the organization possesses their property, the organization is liable for paying their obligations and the cash that is contributed by the organization is for the reimbursement of their offers. Consequently, it might inferred that an organization is a different legitimate entity[2]. At times it might so occur, that chiefs are not officially named in any case, they keep on going about as executives this is called shadow chiefs. For this situation, Mr. Smith is considered as shadow chief. He likewise released the majority of the obligations as the executive of the XYZ Company. Shadow executives can be held subject for penetrates of the laws identifying with th e obligations of the chief, despite the fact that they were never selected as an executive of the company[3]. The main situation conjures the arrangement identifying with wiped out exchanging. Bankrupt exchanging is the point at which the executives permit their organization to win obligations when the organization had gotten wiped out. The outlets can hold the executives at risk for installment of the obligations against the chiefs of the organization the second liquidation starts. A chief may he held by and by subject for the installment of the obligations when the organization got wiped out. An organization might be proclaimed as ruined when it can't pay its obligations. As per segment 95 An of the Corporations Act, bankruptcy implies an individual who can't pay their obligations the second it gets payable and due. Area 588A of the Corporations Act, 2001, manages, how chiefs can be held obligated for ruined exchanging. As indicated by area 588A, it is the obligation of the execut ive to forestall ruined exchanging inside the company[4]. An executive can be held at risk for contradicting this segment when the chiefs intentionally permit the organization to cause the obligation when they knew about the way that the organization was wiped out. Subsequently, in the given case situation on the off chance that we apply area 588A of the Corporations Act, the chiefs of XYZ Company can be held at risk for penetrating the arrangements identifying with wiped out exchanging. The chiefs likewise closed down the money related reports without appropriate evaluation and made an affirmation that there is no degree that the organization was wiped out. The barriers that may accessible to the executives for this situation according to the Corporations Act are as per the following: The chiefs had all grounds to accept that the organization was dissolvable. For this situation, the executives may utilize this protection, as the CFO evaluated the organization and made a money related report expressing that all the records of the organization are fine[5]. A skillful, sensible individual delivered all data that made the executives conviction that the organization was solvent[6]. The chief had a valid justification for not partaking in the administration of the organization at that specific time. The chief found a way to keep the organization from gaining obligation; this incorporates endeavoring to delegate a willful overseer for the organization that had become insolvent[7]. (b): Following the realities that is expressed in answer an, it was noticed that XYZ Company was as of late evaluated and the executives after legitimate suggestion of Brian had closed down the budgetary records proclaiming it as evident and right. According to the Australian Company Law, it is the obligation of the organization to record and hotel money related reports with the ASIC and the reports ought to contain a section wherein the statement can be produced using the executive. This is especially in respect with the budgetary report of the organization. The affirmation that is made by the chiefs incorporates: That, in the assessment of the executives, the organization will have all way to take care of their obligations as and when they become due on the company[8]. That, the explanations that are made by the organization follow the general bookkeeping norms and execution of the organization. On the off chance that the organization is recorded, at that point the chiefs of the organization need to make an announcement that will be given by the Chief Executive Officer (CEO) and Chief Executive Officer (CFO)[9]. It is the obligation of the chief to guarantee that every one of them have appropriate obligation, aptitude and ingenuity in understanding the money related report that will be unveiled to the general population. It is the obligation of the chief to guarantee that every one of the statement contained in the report are reasonable, valid and right with respect to the information on the director[10]. The executive has the obligation to guarantee that the budgetary report that is given is reasonable, and sensible and right. Area 314 of the Corporations Act, 2001 an organization must answer to all the individuals from the organization toward the finish of the monetary year, which will be made as per segments 1AA or, 1AE of the Corporations Act, 200[11]1. As indicated by segment 314 of the Act, an organization needs to create an executive report, reviewer report or money related report toward the year's end. The job of the review board of trustees assumes a significant job in ensuring that the review quality or budgetary report of the organization is reasonable and right. Notwithstanding, the foundation of the review council doesn't influence the duty of the executive in guaranteeing that the report was right and reasonable. The executive have the duty in guaranteeing that the CFO and the CEO of the organization are sufficiently qualified to have set up jobs while giving the budgetary reports of the company[12]. The chiefs likewise need to guarantee that the monetary reports conform to the records of the organization and consent to the fundamental bookkeeping gauges. Subsequently, it is normal that executives have the essential information on the bookkeeping measures and standards. In the event that an organization is a recorded organization, at that point the statements that are made by the CFO and CEO ought to consent to the monetary bookkeeping gauges of the organization. The executives of the organization are considered as significant guard dogs of the organizati on it is accepted that they have adequate information about the bookkeeping standards and gauges of the organization. The executives of the organization ought to be instructed, they ought to be refreshed about the bookkeeping standards and principles, and that the money related reports have met the necessities of the Corporations Act[13]. For this situation, the CFO is considered as the primary leader of the monetary business, he is relied upon to have mastery in the field of money related industry and subsequently it is a general conviction that he has the best information on the companys budgetary subtleties. For this situation, it was relied upon from Brian to comprehend when the organization would get wiped out and at the opportune time, he ought to have educated the executives about it. Subsequently, it was the duty of the chief and the CFO to guarantee and make appropriate monetary report of the organization. The executives and the CFO of the organization ought to have guarant eed that the money related reports are right before approving the 2015 budgetary records. (c): It was noticed that toward the finish of the monetary year, the organization couldn't pay some of their obligations and that Mr Smith for the benefit of the organization, haggles with the lenders for an expansion of time to take care of what the organization owes. Be that as it may, in the start of the year 2016 the organization proclaimed deliberate organization. It was found by the outer overseers of the organization, that the organization has offered a portion of their entirely significant property to Mr Smith beneath the market cost before his retirement as a chief. In view of the realities, the issue that emerges here is the obligation of Mr Smith and his activities that has prompted the intentional organization of XYZ Co Ltd. An intentional organization is, the point at which the organization is helped with the assistance of a certified head, to improve the money related situation of the organization and to get the organization in a good place again. The willful organization occurs with the assistance of the banks. On the off chance that the intentional organization is connected with the activity of Mr. Smith that happened even before his retirement then he ought to be held obligated for purchasing the advantages of the organization at a lesser cost. Mr Smith can be held at risk for penetrating areas 180 to 183 of the Corporation Act, 2001. This segment contains the general obligation of the director[14]. Concurring t

Analysis of The Notebook Essay

The Notebook starts at a nursing home where an older man called â€Å"Duke† peruses a romantic tale that is written in a scratch pad to an old lady who is likewise a patient. The story is set in Seabrook Island, South Carolina where a nearby kid by the name of Noah Calhoun becomes hopelessly enamored with a youthful beneficiary named Allie Hamilton. So as to get her to go out on the town with him, Noah scales a Ferris wheel at the neighborhood festival and takes steps to hop off except if she consents to go out with him. Their first date is at the motion pictures and finishes with the two moving in the road. The finish of their date leads into a wonderful summer relationship where the two fall profoundly enamored with one another. Partners guardians are bound and determined against the two youngsters being together; this is for the most part due to Noah’s status (being poor) on the planet. In the long run the two separation and Allie gets back to Charleston with her fol ks. Despite the fact that the two are separated they are still especially infatuated with one another. Noah composes a letter to Allie consistently for one year; tragically Allies mother catches the letters and doesn't offer them to her little girl. Since neither one of the ones gets notification from the other they conclude that they must choose the option to proceed onward. Noah proceeds to battle in World War II, while Allie goes on to school and afterward chips in as a medical caretaker who thinks about injured officers. During her time as a volunteer Allie meets Lon; a youthful attorney who originates from old cash. The two date for some time and afterward one night while out with her folks Lon proposes to Allie and she acknowledges. Despite the fact that she is locked in to another person Allie still considers Noah. Meanwhile Noah gets back from the war and sees Allie eating at a café with Lon and gets both of them kissing. Noah chooses to return home and reestablish the manors house, feeling that on the off chance that he can complete it, at that point Allie will in the long run return to him. At some point while scanning for her wedding dress Allie sees an image of Noah and the completed house in the paper. Allie conclu des that she should return and see Noah. Upon her appearance the two talk for some time and afterward have supper. Later the following day he takes Allie for a vessel brave on the stream and shows her the swans. In transit back it is raging and Allie at long last asks Noah for what good reason he never kept in touch with her. Here she discovers that Noah did in actuality keep in touch with her and in the wake of contending for some time the two winds up having intercourse. The following day Allies motherâ shows up and gives her the letters that Noah had composed each one of those years prior and reveals to her that she needs to settle on a decision. In the long run Allie picks Noah and she severs her commitment with Lon. In the current we find that â€Å"Duke† is really Noah and the older lady is Allie. The two have been hitched cheerfully these years. The explanation that Noah has been perusing this note pad romantic tale to her is on the grounds that Allie has dementia and now and again his retelling her the story causes her to recall. At the finish of the film Allie inquires as to whether he believes that their adoration is sufficiently able to remove them together, which means kick the bucket together. He accepts that it is and the two rests on the bed enclosed by each other’s arms and kick the bucket calmly. I saw this film as contacting, pitiful, and glad all simultaneously. The manner in which the two cherished one another so completely and totally through everything is something that I accept is unmistakably ailing in today’s world. Through a large portion of the film we discover Allie holding her feelings in, frightful of harming those that she thinks about. We can see this when she at long last surrenders to her parents’ wishes and moves back to Charleston. We additionally observe this when she acknowledges Lon’s proposition, since she wants to think about it and adores him, but since he is the thing that her folks would have picked (and endorsed of) for her. Another significant spot where we see this is towards the end when she is attempting to settle on her choice on whom to be with. In each occurrence we discover her very frightful of communicating her feelings. Another issue that we see through the film is lacking relational aptitudes. This is one of the hardest correspondence deterrents to survive. This is on the grounds that numerous individuals straightforward don't have a clue how to communicate their feelings. While this can be seen with all the contending that happens among Noah and All ie; we additionally observe it all the more unobtrusively with Allie and her mom. This is on the grounds that Allie and her mom never just plunk down and converse with one another about the issue of the connection among Noah and Allie. Rather than disclosing to Allie from the earliest starting point how she felt and why she felt that route about the relationship she rather chose to shout and conceal the letters that Noah had composed. Had the two figured out how to impart better from the earliest starting point it would have spared a great deal of sorrow. Through this film we can likewise observe the Socialization Theory at work. This hypothesis discusses the various ways that people are educated to communicate their feelings. During this film we see Allie’s mother hold her feelings in with regards to something besides heâ daughter’s activities. Anne is the thing that would be viewed as the ideal southern lady. She doesn't communicate any negative feelings out in the open setting; rather she hushes up about them. We can likewise observe this with her dad and how he smoothly addresses Noah and his misery with him seeing his little girl. In the two regards Allies guardians act sincerely how the high society of southern culture would expected to. This film shows each part of a relationship, from the great to the terrible. It shows that no relationship is great; they all have their ups and there downs. While a wide range of components of passionate correspondence can be seen, for me the ideas of dread, deficient relational abilities and the socialization hypothesis are the most suitable. I accept that this film can show all individuals something connections.

The Misunderstanding of Being Postcolonialism - Free Essay Example

Sample details Pages: 6 Words: 1883 Downloads: 8 Date added: 2019/04/12 Category Literature Essay Level High school Tags: Frankenstein Essay Did you like this example? American lawyer Loretta Lynch said Everyone wants to be seen. Everyone wants to be heard. Everyone wants to be recognized as the person that they are and not a stereotype or an image. Don’t waste time! Our writers will create an original "The Misunderstanding of Being Postcolonialism" essay for you Create order A chance to be heard can be considered a basic need as a human living on this planet. There have been people groups over the years that have not had their needs met in the area of communication, denied their right to be heard. Postcolonial literature is a way to give voice to those dealing with its aftermath. Its critics are concerned with literature produced by colonial powers and works produced by those who were/are colonized (Purdue). Mary Shelleys 1818 novel Frankenstein or The Modern Prometheus is an example of postcolonial literature. Struggles in the novel can be looked at as postcolonial in nature. What is just as important as looking at those examples is the question What is Mary Shelley trying to say? This essay will look at what postcolonialism means, the ways in which we find examples of it in Shelleys novel, and what is at the root of all of it. I think that Shelley, much like the characters in her novel and the people affected by postcolonialism, just wanted to be heard and thats why she wrote her novel. Why did Mary Shelley write Frankenstein? That is certainly the million dollar question. That is, it is the question if you think that she is the one who wrote it. John Lauritsen, a writer and editor at Pagan Press, wrote a book in 2007 titled The Man Who Wrote Frankenstein, which explains why he believes that Marys husband Percy is the one who really wrote the novel.. In a letter to the editor published in The Chronicle Review, Lauritsen states that his research indicates that Mary had little imagination or talent for writing and that the only reason that part of the original manuscript (minus Percys revisions) was in her handwriting because he was dictating it to her. Charles Robinson, an English professor at the University of Delaware published a version of Frankenstein in 2009 that had two versions side by side, one that included Percys notes, and one that didnt. One of the reasons for his findings is the difference in handwriting styles. Lauritsen discredits this, however, and were back at square one. Ive read non-scholarly conclusions during my research that Percy wrote it because Marys poor education level would be indicative of her talent level and thus be the reason she could not have been the author. This brings to mind the ongoing debate regarding the true authorship of Shakespeares works: to conclude that one could not write a work of such magnitude simply because of education level smacks of elitism. Lets assume for the purposes of this paper that Mary Shelley did indeed write this novel, so we can narrow the topic somewhat. So why did Mary write Frankenstein? Perhaps it was an attempt to deal with painful aspects of personal relationships. Anthony F. Badalamenti, in his piece Why did Mary Shelley Write Frankenstein? suggests that Mary was using the text to deal with the hurt arising from her husband Percys painful acts towards her. Calling it substitution or encoding, Badalamenti says its the unconscious way of dealing with events that are too painful to deal with within the conscious mind: Encoding brings some relief of a cathartic nature but rarely resolves underlying issues (Badalamenti 420). Not only did Percy create trust issues in their marriage, but her parents contributed to the issues in her subconscious that she has to deal with as well. Her mother Mary Wollstonecraft died eleven days after giving birth to her, and her father William Godwin still felt the need to have family and remarried a woman who had two children of her own. Both of these contributed to her sense of abandonment, and rejection, so clearly captured in the Monsters reaction to Frankenstein abandoning him. This shocking response of the creator to the birthed creation was also influenced by Marys own experience with childbirth. Her first child was a daughter born prematurely, dying a few days later. Ronald Britton, in his paper Mary Shelleys Frankenstein: what made the monster monstrous? relays a journal entry by Mary in 1815 concerning her deceased daughter: Dream that my little baby came to life againI thought that if I could bestow animation upon lifeless matter, I might, in the process of time, renew life where death had apparently devoted the body to corruption (Britton 4). We can look at the novel as a picture of Marys experiences with birth, both with her own and with the birth of her child. This reading of the novel as dealing with birth is influenced by Marys pregnancies before and during the novels creation. Badalamenti later on in his piece says this is given weight by the length of time that Victor takes in creating the Creature (9 months). He also says that this does suggest that she was equating Victor with PercyThere is more support for the fusion idea in Victor dying at the same age Percy was when Mary finished the novel (428). Mary may have made reference to herself in the form of Safie, the beloved of Felix DeLacey. Safie is the daughter of the character in the book known only as the Turk. In a tale told by the Creature we find out that the DeLaceys end up in the cottage we find them in because of Felix, who was only trying to do the right thing by rescuing the Turk from the unjust prison sentence he received while all were in Paris. The Turk, whos only crimes seems to be that he was a foreigner with wealth and a follower of a non-Christian religion. In other words, he was distrusted by the French government because he was the other. Felixs reward was exile to the cottage in Germany. When the Turk found out that the DeLacey family were now poor cottage dwellers, he became a traitor to good feeling and honour (Shelley 101) and broke his promise to Felix and Safie of a union. Safie is betrayed by her father, who denied her love, while being motherless, much like Mary, who was also motherless and very much felt betrayal by the father as well, especially when he became estranged after the engagement to Percy. This point is made even more visible when we view the story as coming from the Creature, who could also represent Mary in the novel. This After Percy died in 1822, Mary released the novel two more times. The original (1818) we know was published anonymously. Im sure that this did not sit well with Mary and I think that was part of the reason she re-released it with her name as the author. The softening the image of Victor in these later editions gives credence to the belief that Victor was a stand-in for Percy, whether consciously or subconsciously. People often soften their anger issues towards a person when that person dies. In a male dominated profession, it was not conceivable that a tale such as Frankenstein would be written by a woman. This idea that a woman was not capable of such writing (and the reason Frankenstein was published anonymously the first time) was typical of the patriarchal system. Her publishers wanted Percys commentary on her work included so there was an implication that he perhaps wrote it. This system made Mary (and other women) feel like outsiders, being made the lesser in a relationship that clearly benefited the masculine (publishers, Percy) over the feminine (Mary, other women). Waiting till after Percy died to publish her authorship and to make changes (twice) shows that she was trying to reclaim her work. She was tired of it and did something about it. In short, she wanted to be heard. Another term for outsiders would be the other. The other is a way of defining ones self. The concept of the self cannot exist without making someone the other. By introducing the concept of the other to describe people groups outside of the normal as a way to control them, thereby making the self superior. Edward Said in his book Orientalism says that the West uses the concept of the other as a way to control the Orient, to justify its actions in the act of colonialism, and that in pointing out their otherness, thos empires of the west have a mission to enlighten, civilize, bring order and democracy (Said xxi). In his book Culture and Imperialism Said talks about how structures and locations appear in literature. In British culture and literature, one might be concerned over the way that places of power are set in the cities of England, and that they are connected to other places by making them subordinate (Said 52). Literature helped to maintain the empire by insisting that it was better in the empire. Western writers contribute to the building of authority of the West by depicting the devaluing and exploitation of the colonized lands as necessary. Saids favorite example of this is Jane Austens Mansfield Park, which shows a slave plantation owned by the character Thomas Bertram as mysteriously necessary to the poise and beauty of Mansfield Park (Said 58). Mary Wollstonecraft in her review of Olaudah Equianos Interesting Narrative says that the philosophy used to justify the treatment of the slave nations used the differences in their appearance to make them the other, degrad(ing) the numerous nationsbelow the common level of humanity, andconclude that naturedesigned to stamp them with the mark of slavery (Bugg 655). This, Bugg says, sets up Wollstonecrafts use of slavery as an analogy for gender oppression (Bugg 656) in her work A Vindication of the Rights of Woman. Mary Shelley also tackles the case off the other in Frankenstein. The younger Mary uses the physical difference of the Creature to point out the imbalance of power between the other (Creature) and the DeLacys (European society). The first that we read of the Creature is in a letter composed by Robert Walton to his sister. He is described as a savage inhabitant of some undiscovered island (Shelley 13). It is only when the Creature starts his education (based in colonial literature) that he learns how his differences will will determine his existence (Bugg 659). His education becomes the means by which regular society (the DeLaceys) makes him feel like the other. Mary Shelley didnt have it easy. Abandoned by her mother in death and by her father when he remarried, she felt cast aside by him and looked at as a rival by her stepmom. In a society that made her feel like the other because of her sex, she looked for love and an outlet for her anger and grief. Her relationship to Percy didnt solve these issues. Her experience in getting her novel to market made her feel like the other as well. Published anonymously because no one would believe a woman could write such a novel, it probably wouldnt have been as well read either. These experiences combined with a desire to be heard galvanized literary magic into Frankenstein, making it a leading example of postcolonial literature. Mary found a voice, and in reclaiming her novel satisfied her need to be heard. Thank you.
